These Terms & Conditions ("Terms") govern your use of the Services provided by Earth Holdings Inc., doing business as Ama Earth Group ("Ama Earth Group," "we," "our," or "us"). By accessing or using our website, application, or services (collectively, the "Services"), you agree to these Terms.

1. Eligibility

2. Services Provided

AI-Assisted Draft Reports

We provide AI-assisted draft environmental reports intended to accelerate professional workflows.

These drafts are not final reports and must be reviewed, signed, and certified by qualified environmental professionals.

Future Services

We may add or modify services at our discretion.

3. Professional Use Disclaimer

• AI-generated drafts are intended for professional interpretation only.
• Ama Earth Group does not guarantee regulatory or legal compliance.
• You are responsible for reviewing, validating, and certifying all outputs through qualified professionals.

4. Payments

Prices and payment terms are displayed at checkout.

All fees are non-refundable unless required by law.

5. Intellectual Property

All maps, software, and content provided through our Services are owned by Ama Earth Group or our licensors.

You are granted a limited, non-exclusive, non-transferable license to use these materials solely for your internal or professional business purposes.

6. Uploaded Content

By using the Services, you may upload:

• Consultant-Owned Content: Materials you own outright or have the rights to grant us.
• Third-Party Proprietary Content: Materials owned by external vendors such as EDR, LightBox, ERIS, GeoSearch, or other data providers.

You represent that you have the legal right to upload any content you submit.

We do not claim ownership over your uploaded content.

7. AI Training & Data Use

This section aligns with our Privacy Policy.

7.1 No Training Without Explicit Consent

We do not train our AI systems on your uploaded content unless you provide explicit, affirmative opt-in consent.

7.2 No Training on Third-Party Proprietary Data

We do not train on:

• EDR / LightBox reports or data
• ERIS reports
• GeoSearch reports
• Any proprietary third-party environmental datasets
• Any derived or extracted content originating from such materials

These materials may only be used to generate your requested report.

7.3 No Training on Consultant Templates

We do not use the following for training or model improvement:

• Consultant report templates
• Any content intended to remain confidential
• Internal documents or formats you do not explicitly authorize

7.4 What May Be Used for Training (With Opt-In)

With your explicit opt-in, we may train on certain Consultant-Owned Content such as:

• Field photos
• Site notes
• Other proprietary materials you fully own

Content used for training will be anonymized and aggregated whenever possible.

7.5 Public Data

We may train our AI systems on publicly available or public-domain data, including:

• FOIA-released reports
• Government datasets
• Public regulatory records
• Public maps and imagery

No client consent is required for public-domain materials.

8. Data Security & Retention

We maintain strict security measures and retention limits in accordance with our Privacy Policy.

We use regional hosting when possible and restrict access to authorized personnel only.

9. Prohibited Uses

You agree not to:

• Reverse engineer, resell, or redistribute our Services.
• Upload content you do not have the right to use.
• Misrepresent AI-assisted outputs as certified without professional review.
• Interfere with or attempt to breach the security of the Services.

10. Limitation of Liability

The Services are provided "as is" and "as available."

We disclaim all warranties to the fullest extent permitted by law.

Your use of AI-assisted outputs is at your own risk, and you assume responsibility for all interpretations and certifications.

11. Insurance

We maintain professional liability insurance.

This does not replace your responsibility to review and certify final outputs.

12. Governing Law

These Terms are governed by the laws of the Commonwealth of Puerto Rico and applicable U.S. federal law.
